• Weekly third-party quality audits (cost borne by vendor)
• 0.3mm maximum tolerance in mirror dimensions

1.2 Rejection Protocol

• 3% penalty on order value for failed quality checks
• Mandatory replacement within 72 hours of defect notification
• Three consecutive failures result in contract termination

3.1 Payment Schedule

• Net 30 days payment terms from invoice date
• 2% early payment discount for settlement within 15 days
• 18% annual interest on delayed payments

3.2 Invoice Requirements

• Must include LightMirror purchase order number
• GST-compliant with HSN code 7009.91.90
• QR code-enabled e-invoicing mandatory

• All designs remain LightMirror.in’s exclusive property
• 5-year non-compete clause post-termination
• Product modifications require written approval
• Mandatory NDA for all subcontractors

5.1 Information Security

• GDPR-compliant data handling required
• Encrypted storage of design files
• Biometric access control for production areas

• 30-day notice period for mutual termination
• Immediate termination for quality breaches
• 2-year moratorium on working with competitors
• Return of all proprietary materials within 7 days
